- Acceptance of Terms
- These Terms of Service ("Terms") govern your access to and use of the MANDA Institute website, platform, and related services (together, the "Services"), operated by Leptis Magna Capital. By accessing or using the Services, you agree to these Terms and to our Privacy Policy.
- If you use the Services on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" refers to that organisation.
- If you do not agree to these Terms, please do not use the Services. We may update these Terms from time to time, as described in 'Changes & General Provisions' below.
- Who We Are
- MANDA Institute is a software assisted business valuation and M&A platform operated by Leptis Magna Capital, its institutional parent.
- We work remote-first across the EU, EEA, and EFTA, with hubs in Luxembourg, Amsterdam, and Belgrade. Formal registered-entity details (legal name, registered office, and registration number) are available on request and through our contact page.

- Intellectual Property & Your Content
- Our intellectual property
- The Services (including our software, models, valuation methodologies, market data, design, and brand) are owned by MANDA Institute and its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose.
- Your content
- You keep ownership of the data and documents you submit. You grant us the rights needed to host and process that content in order to provide the Services. We may use aggregated, anonymised data to operate and improve the Services.
- You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

- Valuations and analyses are indicative estimates based on the information you provide, market data, benchmarks, and software assisted analysis.
- Not professional advice
- Our outputs are not a formal appraisal or fairness opinion, and are not investment, legal, tax, or accounting advice. They do not guarantee any achievable price or outcome.
- Accuracy limits
- Results are only as reliable as the underlying data, and market conditions can change. Actual transaction values may differ significantly. Third parties should not rely on our outputs without independent verification.
- Our commitment
- We treat the non-public business information you share as confidential, limit access to authorised personnel, and only share it with your consent or as required by law, as described in our Privacy Policy.
- Buyer and seller process
- We disclose your identity and confidential details to potential buyers only with your consent and under a non-disclosure agreement (NDA). This does not apply to information you choose to make public, such as a listing you publish or an anonymised teaser.
- Your obligations
- Where you receive confidential information through the Services (for example, about a buyer or another business), you must keep it confidential and use it only for the intended purpose.
- Disclaimers & Limitation of Liability
- "As is"
- The Services are provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
- To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for lost profits, data, business, or goodwill. Our total liability for any claim is limited to the fees you paid for the Services in the 12 months before the claim.
- What we don't limit
- Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including for fraud, for death or personal injury caused by negligence, or your mandatory rights as a consumer.
- You agree to indemnify and hold harmless MANDA Institute, Leptis Magna Capital, and their respective officers, employees, and agents from claims, losses, and reasonable costs (including legal fees) arising from your use of the Services, your breach of these Terms, your infringement of third-party rights, or the content or data you provide.
- We will notify you of any such claim and may, at our option, take over its defence; you agree to cooperate reasonably.
- By you
- You may stop using the Services and close your account at any time. Fees already due remain payable.
- By us
- We may suspend or end your access if you breach these Terms, use the Services unlawfully, create risk for others, where we are required to by law, or if we discontinue the Services.

- Please contact us first so we can try to resolve any issue informally and in good faith. Disputes that cannot be resolved this way are subject to the competent courts of that country.
- The instant benchmark gives you an indicative value range in under 60 seconds, measured against completed sales of medium sized European businesses. The full valuation takes about 5 minutes, uses your own financials and shows up to four methods. Both are free. Both are indicative estimates, not a formal appraisal.
- The one success fee we intend to charge applies only when a deal closes. Provisional. No engagement letter has been drafted yet, so this is how we intend to charge rather than terms you can hold us to.
